I am providing a payment service that builds on top of existing payment processing systems (like paypal). I'm not going to store any credit card information on my servers, but the data will pass through my system.
- Are there any U.S. laws or standards that I have to be in compliance with?
- Is there any insurance that I have to get to protect myself in case someone's credit card information is violated through my site?
I'm offering an online payment solution that other business will build upon. I'm going to have a service agreement that will promise certain things such as quality of service, uptime, etc. I will charge a transaction fee for every transaction that goes through my system.
- Should I purchase E&O insurance?
- Does this just cover legal costs in case I get sued?
- How should I calculate how much coverage I need? Should this just be a multiple of my revenue over a period of time.
- Does anybody know what type of coverage other payment services like Paypal and Google Checkout have?

I don't get out much, yet I have this friend who keeps nagging me to get off the computer and stop working to hang out with him. He tells me it would be good for me and my business. Is there any truth to this, or is he just trying to have someone to be with or he doesn't want me to work, or something else? If I get off my computer, then I can't get my work done. I can only think about working.
I'm starting a company, and already have non-profit organizations contacting me to donate to their cause. I'm not making any money, yet everyone thinks because you have a company, you can donate. Do startup entrepreneurs and founders have an obligation to donate, and if so, how much should we give back to our community or people? Should we just put a charity program in our businesses?

My company has created a mobile application to distribute images and blog posts from certain websites. I need to find a good distribution agreement that will cover the usual legal authorization along with the revenues splits between in app advertisement and in app purchases (where we can specify that 30% Apple takes doesn't come out of our share ;P).
Anybody have any good source of agreement templates for this kind of business?

I have created many programming solutions which composed few programming code page and a manual document in PDF format. I want to sell it to other developer but I don't know which license (for example, GPL, MIT) to be applied to my source code, document, and web site.
The point is the package I sell allow software developer to use it in their work. But It should not be allow to redistributed or modified the content for redistributed.
Could you suggest me which license is appropriate for my need?
I am founder, CEO and originator of a business idea that I developed into a business in Europe. I brought on two partners (equal in ownership), and no partnership agreement. Since then, the business partners have left to outside the European continent and the Europe business has since become stale. I want to start a similar company (on my own) in the USA but can I still use the same company name in the US (without the other two partners trying to get their cut out of my USA company later down the road)? Or would it be better to rename it something completely different? (reason I want to keep the same, because I own the dot.com name, and lots of paperwork, logo, etc has been created for the European company). Any advice would be great!
